Effective today, March 20th, all myStreet employees will be working remotely until further notice. Communication with Board members and owners will continue without interruption, but our physical offices will be closed. We believe this is the best course of action for both our staff and clients based on recommendations of the CDC, the Federal Government, and local health departments. During this time, all management and support staff will be available by phone and email, Monday through Friday 9:00 AM to 4:00 PM. In the face of COVID-19, your As*ociation may need to postpone Annual or Special Membership Meetings or find a way to hold them electronically. Many statutes provide for an “out-of-schedule” annual meeting by allowing Board members to serve until their successors are elected. You may consider whether your governing law or docu*ents allow a postponed or “virtual” annual meeting without affecting the validity of your As*ociation’s corporate actions. Boards may need to consider whether face-to-face meetings are truly necessary, when some matters may be decided by taking “action without meeting” votes in accordance with their docu*ents or corporate law.  Alternatively, many state laws and governing docu*ents allow Board or Committee meetings to be conducted via electronic or telephonic means.  Please note that where a meeting is conducted by telephone or video conference in Virginia, at least two (2) members of the Board are supposed to be physically present at the meeting place included by the notice.  But if a meeting notice provides that a meeting will be held via tele or video-conference with a number or gateway open to all members, a court, given the current circu*stances, could likely find such arrangements unobjectionable, as
